Terms of Service
These Terms of Service govern your engagement of Zetun Finance Pty Ltd (ABN 88 703 619 621) and apply to all professional business and consulting services we provide. Please read them carefully before engaging our services.
1. About These Terms
By engaging Zetun Finance Pty Ltd (“we”, “us”, “our”), requesting a quote, or using our website at https://zetunfinance.online, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not engage our services.
These terms apply together with any written engagement letter, proposal, or statement of work agreed between you and us. Where an engagement document conflicts with these terms, the engagement document prevails to the extent of the inconsistency.
2. Who We Are
Zetun Finance Pty Ltd is an Australian proprietary limited company registered under ABN 88 703 619 621, operating from Melbourne VIC, Australia. We provide professional business and consulting services to businesses across Australia.
3. Our Services
We provide a range of professional business and consulting services, which may include business advisory, strategic planning, operational review, financial administration support, and related consulting work. The specific scope of services for your engagement will be set out in your quote, proposal, or engagement letter.
Any indicative timeframes, outcomes, or projections we communicate are estimates only and are not guarantees of particular results. Business outcomes depend on many factors outside our control, including market conditions and decisions you make independently.
4. Quotes and Engagements
Quotes provided by us are valid for 30 days from the date of issue unless otherwise stated. A quote is an invitation to engage our services and does not constitute a binding offer until we confirm the engagement in writing.
An engagement commences when both parties confirm the scope, fees, and timeline in writing. Work outside the agreed scope will be quoted separately and will not commence without your written approval.
5. Fees, Invoicing and Payment
- Fees are set out in your quote or engagement letter and are quoted in Australian dollars (AUD).
- Fees are exclusive of Goods and Services Tax (GST), which is payable in addition where applicable.
- Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.
- We may charge reasonable administrative costs on overdue amounts. Overdue accounts may result in suspension of services until payment is received.
- Disbursements and third-party costs incurred on your behalf will be passed on at cost or as itemised in your engagement documents.
6. Your Obligations
To enable us to perform our services effectively, you agree to:
- Provide accurate, complete, and timely information and documentation reasonably required for the engagement;
- Promptly notify us of any change to your business circumstances, structure, or contact details that may affect the work;
- Ensure any information you provide to us is lawfully obtained and that you have the right to share it with us;
- Appoint a suitable point of contact authorised to make decisions and provide instructions on your behalf;
- Comply with all applicable laws and regulations in connection with the engagement.
Delays caused by incomplete information or late instructions may affect timelines and may result in additional fees.
7. Intellectual Property
All pre-existing materials, frameworks, methodologies, templates, and tools that we bring to an engagement remain our property. Upon full payment of our fees, you receive a licence to use the deliverables we create specifically for you, for your internal business purposes.
You retain ownership of the materials you provide to us. You grant us a limited licence to use those materials solely for the purpose of performing the services.
We may reuse general knowledge, skills, and experience gained during the engagement, provided we do not disclose your confidential information.
8. Confidentiality
Both parties agree to keep confidential all non-public information disclosed by the other party in connection with the engagement, and to use that information only for the purposes of the engagement. This obligation does not apply to information that is publicly available, independently developed, required to be disclosed by law, or already lawfully known to the receiving party.
Our confidentiality obligations are subject to our professional and legal obligations, including any disclosure required by an Australian court, regulator, or statute.
9. Australian Consumer Law
Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.
Where our services do not meet the applicable consumer guarantees under the Australian Consumer Law, you may be entitled to a remedy, including resupply of the services or a refund, to the extent required by law.
10. Limitation of Liability
To the fullest extent permitted by law, and except for liabilities that cannot be excluded by law (including under the Australian Consumer Law):
- Our total aggregate liability arising out of or in connection with an engagement is limited to the fees paid by you for the services giving rise to the claim;
- We are not liable for indirect, incidental, special, or consequential losses, including loss of profit, loss of revenue, loss of business opportunity, or loss of data;
- We are not liable for losses caused by information, materials, or decisions you supply or make, or by circumstances outside our reasonable control.
This clause does not apply in respect of liability for fraud, wilful misconduct, or personal injury caused by negligence, to the extent such liability cannot be limited.
11. Termination
Either party may terminate an engagement by giving 14 days’ written notice to the other party. We may terminate an engagement immediately by written notice if you fail to pay an invoice by its due date, breach these terms and do not remedy the breach within 7 days of notice, or if continuing the engagement would place us in breach of the law or our professional obligations.
On termination, you must pay all fees and disbursements incurred for work performed up to the date of termination. We will return any materials reasonably belonging to you that are in our possession.
12. Privacy
We handle personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy. Our Privacy Policy, available at privacy.html, explains how we collect, use, store, and disclose personal information, and how you may access or correct the information we hold about you.
13. Force Majeure
We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, pandemics, industrial action, cyber incidents, government restrictions, or failures of third-party utilities or services. Where such an event occurs, we will notify you and agree on reasonable alternative arrangements.
14. Dispute Resolution
If a dispute arises in connection with an engagement, both parties agree to first attempt to resolve the matter in good faith through direct discussion. If the matter is not resolved within 30 days, either party may refer the dispute to mediation in Melbourne VIC before commencing court proceedings, except where urgent injunctive relief is required.
15. Governing Law
These terms are governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from those courts.
16. Changes to These Terms
We may update these Terms of Service from time to time. The current version published on this website applies to new engagements from the date of publication. For existing engagements, the version in effect at the time the engagement commenced will continue to apply unless you agree otherwise in writing.
